Terms of Service

You must be at least 13 years old to use the Service. If you are under the age of majority in your place of residence, you may use the Service only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. By using the Service, you represent that you meet these requirements and that you are not barred from using the Service under any applicable law. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization.

Mercury is an AI-powered research assistant that helps you organize research “Labs,” reason over sources and literature, generate hypotheses and analysis, use tools (such as web and academic search), optionally connect third-party accounts, and — with your explicit approval — run computational experiments on third-party GPU infrastructure. We may add, change, or discontinue features at any time.

Beta and evolving service.The Service, or parts of it, may be offered on a preview, beta, or early-access basis, may contain errors, and may change or be discontinued. Beta features are provided “as is” and may be less reliable than generally available features.

You must create an account to use most features. You agree to provide accurate information, to keep it up to date, and to keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly at support@ehl-inc.com if you suspect unauthorized use. We may suspend or terminate accounts as described in Section 12.

You agree not to, and not to permit anyone to:

• Use the Service in violation of any applicable law, regulation, or third-party right, including intellectual property, privacy, and export-control laws;
• Use the Service to develop, design, or facilitate weapons, or to create or obtain information that could cause serious harm, including biological, chemical, nuclear, or radiological weapons or agents, or to plan or carry out attacks on critical infrastructure;
• Attempt to generate, or use the Service to generate, content that is unlawful, that sexually exploits or endangers minors, that harasses or threatens others, or that facilitates fraud, malware, or unauthorized intrusion;
• Circumvent, disable, or interfere with security, rate-limiting, usage, safety, or access-control features;
• Reverse engineer, scrape, or attempt to extract the underlying models, source code, or training data of the Service, except to the extent this restriction is prohibited by law;
• Use the Service to build or train a competing AI product or model, or resell or provide the Service to third parties except as expressly permitted;
• Upload content or credentials you do not have the right to provide, or connect accounts you are not authorized to connect;
• Overload, disrupt, or impair the Service or the infrastructure of our providers.

We may investigate and take appropriate action, including removing content, throttling, suspending, or terminating access, for any suspected violation.

“User Content” means the sources, files, prompts, instructions, messages, and other materials you submit to or generate within the Service, and the data you make available through connected accounts.

Ownership. As between you and us, you retain all rights you have in your User Content. We do not claim ownership of it.

License to operate the Service.You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your User Content solely to operate, provide, secure, and improve the Service for you — including sending it to the third-party providers described in Section 8 to fulfil your requests. We do not use your User Content to train machine-learning models, and we do not sell it.

Your responsibility. You are solely responsible for your User Content and for ensuring you have the rights and any necessary consents to submit it and to have it processed as described. You represent that your User Content does not violate these Terms or any law or third-party right.

Removal. We may remove or disable User Content that we reasonably believe violates these Terms or applicable law, or that exposes us or others to liability.

The Service uses artificial intelligence to generate responses, analyses, hypotheses, code, and other output (“Output”). AI Output may be inaccurate, incomplete, outdated, or misleading, and may not reflect real-world facts or current information. Given the nature of machine learning, Output is probabilistic and may vary; different users may receive similar or identical Output.

• You must independently evaluate and verify Output before relying on it, especially for consequential decisions.
• The Service does not provide medical, legal, financial, safety, or other professional advice, and Output is not a substitute for professional judgment, peer review, laboratory validation, or applicable regulatory, ethical, or institutional review. You are responsible for compliance with any laws, standards, and approvals applicable to your research or use.
• You are responsible for how you use Output, including any code you run and any experiments you approve.

As between you and us, and to the extent we have the right to grant such rights, you own the Output you generate through the Service, subject to Section 4, these Terms, and the terms of the underlying model providers. You are responsible for the Output you use, publish, or distribute.

If you request and explicitly approve a GPU compute experiment, you authorize us to submit the experiment details you provide (including commands, scripts, and configurations) to our third-party compute provider and to execute them on your behalf. You are solely responsible for the commands, code, and configurations you submit and for their consequences. Compute jobs are subject to resource, runtime, and cost limits, and may fail, be interrupted, or produce no useful result.

The Service relies on and interoperates with third parties, including cloud infrastructure, AI model providers (such as Anthropic, Together AI, and OpenAI), GPU compute providers, search providers, and — at your option — connected accounts such as Google Workspace services (Gmail, Calendar, Docs, Drive, Sheets).

• When you connect an account or make a request, you authorize us to access, transmit, and process the relevant data through these providers to deliver the feature you requested.
• Your use of third-party services is also governed by their own terms and privacy policies, and we are not responsible for third-party services, their availability, or their acts or omissions.
• Our use of information from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements, as described in our Privacy Policy.

The Service is currently provided free of charge, on a beta basis. We may introduce paid plans or usage-based charges (including for GPU compute) in the future, and if we do, we will present the applicable pricing and billing terms and obtain your agreement before charging you.

We may set and enforce usage limits, quotas, and rate limits, and may suspend or limit access for usage that materially exceeds normal or permitted use.

The Service, including its software, models, design, text, graphics, and trademarks (including “Mercury” and “Event Horizon Labs”), is owned by us or our licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal, lawful purposes. We reserve all rights not expressly granted.

Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation to you.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms or applicable law, if required to protect the Service, other users, or third parties, or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including Sections 5 (license grants), 6, 10, 13, 14, 15, and 16 — will survive.

The Service and all Output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that Output will be accurate or reliable. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

To the maximum extent permitted by law, Event Horizon Labs and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or research results, arising out of or related to your use of (or inability to use) the Service or any Output, even if advised of the possibility. Our total liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim or (b) US $100. These limitations apply to the fullest extent permitted by law and do not limit liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless Event Horizon Labs and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and we agree to submit to the exclusive jurisdiction of the state and federal courts located in California to resolve any dispute arising out of or relating to these Terms or the Service.

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new “Last updated” date or through the Service). Your continued use of the Service after changes take effect constitutes acceptance.

These Terms, together with the Privacy Policy and any terms presented at purchase, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be provided through the Service or by email; notices to us should be sent to support@ehl-inc.com.
